You will be responsible for the following:
Governance Oversight and Implementation
Assist in the development, maintenance, and implementation of the group’s Corporate Governance Framework aligned with BSP, SEC expectations.
Coordinate the establishment and maintenance of Board- and Management-level Committees across subsidiaries.
Support implementation of governance-related circulars such as:
BSP Circular 1127 (Corporate Governance for BSP-supervised FIs)
SEC MC No. 24, s. 2019 (CG Code)
SG Guidelines on Corporate Governance (where applicable)
Board and Committee Support
Support the NB Group Compliance Head by overseeing preparation of board packs, resolutions, and meeting minutes.
Monitor board composition, term limits, and independence criteria in compliance with regulatory requirements.
Track Board and Committee training and continuing education requirements.
Regulatory Governance Reporting
Ensure timely filing of Annual Corporate Governance Reports and similar requirements to BSP, SEC, and MAS.
Coordinate the Self-Assessment of Governance Practices, Board evaluations, and related governance surveys.
Governance Risk and Control
Monitor adherence to charters, codes of conduct, conflict-of-interest policies, and whistleblower policies across the group.
Participate in fit and proper assessments of directors and key officers.
We are looking for:
Bachelor’s degree in Law, Business Administration, Public Administration, or related field.
Minimum 5 years of experience in corporate governance, legal or compliance roles within financial institutions.
Familiarity with regulatory expectations from BSP, SEC, SG regulators on governance.
Strong organizational and communication skills with high attention to detail.
