The primary duties of the Board of Commissioners are to supervise the policies of the Board of Directors in managing the Company and to provide advice to the Board of Directors.

The supervisory function may be carried out by each individual member of the Board of Commissioners; however, any advice or recommendations shall be issued in the name of the Board of Commissioners collectively.

The supervisory function is a continuous process. Therefore, the Board of Commissioners is required to demonstrate a high level of commitment by allocating sufficient time and performing all duties and responsibilities diligently and responsibly.

The implementation of these duties includes, among others:

  1. Conducting regular meetings at least once a month.
  2. Providing advice, feedback, and/or approvals in a timely manner and based on adequate consideration for Board of Directors.
  3. Empowering committees established by the Board of Commissioners, such as the Audit Committee, Nomination Committee, and others.
  4. Encouraging the effective implementation of good corporate governance.
  5. Exercising active oversight over the implementation of Standard Operating Procedures and Risk Management.

Compliance

  1. Performing regulatory compliance matters, including OSS Bappebti, OJK SPRINT, and Bank Indonesia EASE.
  2. Conducting continuous and active supervision over the implementation of Standard Operating Procedures and Risk Management.
  3. Ensuring compliance with all applicable laws and regulations, including regulatory audits and reporting obligations.
  4. Providing support to the team in the preparation of periodic regulatory reports to Bappebti, OJK, and Central Bank of Indonesia.
  5. Overseeing all third-party agreements of Zeal Capital Indonesia.
  6. Establishes and manages an internal audit function to conduct compliance audits using a scoring methodology in accordance with Central Bank of Indonesia requirements.
  7. Oversees regulatory developments applicable to Futures Brokers issued by Bappebti, OJK, and Central Bank of Indonesia and ensures full compliance by Zeal Capital Indonesia.

  • Bachelor’s Degree in Economics, Finance, or Law or above
  • Legally competent to perform legal acts.
  • Demonstrates high integrity, good moral character, and strong professional reputation.
  • Possesses experience in the investment sector, such as capital markets or banking (experience in Commodity Futures Trading is highly preferred).
  • Has a strong understanding of risk management, regulatory compliance, and corporate governance.
  • Demonstrates strong leadership capabilities, strategic analysis skills, and sound decision-making ability.
  • Is not affiliated with or bound to any company engaged in Commodity Futures Trading.
